These Terms & Conditions (“Terms”) govern your access to and use of the PALMOC website, any PALMOC client portal or account features, and PALMOC’s services for app design, UI/UX, and app development (collectively, the “Services”). These Terms apply to business customers only (B2B).

By creating an account, purchasing Services, signing a proposal or statement of work, or otherwise using the Services, you agree to these Terms.

1) Business-to-Business Use Only

PALMOC provides Services for business purposes. You represent that you are acting on behalf of a business entity or for commercial purposes and that you have authority to bind that entity to these Terms.

2) Definitions

  • “Client” means the business purchasing or using the Services.

  • “Proposal” means a written quote, estimate, scope, or offer issued by PALMOC (including any statement of work, milestones, timelines, or deliverables).

  • “Deliverables” means the work product PALMOC agrees to provide under a Proposal (which may include designs, prototypes, source code, documentation, or other outputs).

  • “Client Materials” means anything the Client provides (content, branding assets, requirements, credentials, third-party tools, etc.).

3) Relationship Between These Terms and Your Proposal

Your Proposal (and any exhibits, SOW, change orders, or order forms) controls project-specific items like scope, pricing, milestones, and deliverables.
If there’s a conflict between these Terms and a Proposal, the Proposal controls only for that project.

4) Accounts and Access

4.1 Account creation

You must create an account to purchase or manage Services. You agree to provide accurate information and keep your account details up to date.

​

4.2 Security

You are responsible for maintaining confidentiality of login credentials and for all activity under your account. Notify us promptly if you suspect unauthorized use.

​

4.3 Eligibility and authority

You represent that you have authority to act for your business and that your use of the Services will comply with all applicable laws.

​

5) Scope of Services and Deliverables

​

5.1 Services offered

PALMOC provides app design and development services including UI/UX, prototyping, application build work, and related consulting as described in a Proposal.

​

5.2 Estimates only (no guaranteed timelines)

Any timelines, delivery dates, or completion estimates are non-binding estimates unless explicitly stated as guaranteed in writing by PALMOC.

​

5.3 Revisions

Unless otherwise stated in a Proposal, PALMOC includes up to three (3) rounds of revisions for design deliverables. A “revision round” means a consolidated set of feedback from Client delivered within a reasonable feedback window.

5.4 Out-of-scope work and changes

Any request not expressly included in the Proposal is out of scope. Out-of-scope work requires a written change order or updated Proposal and may result in additional fees and timeline changes.

6) Client Responsibilities

You agree to:

  • Provide timely access to Client Materials, requirements, and feedback

  • Ensure Client Materials do not infringe third-party rights

  • Provide necessary credentials and access to third-party platforms (e.g., hosting, APIs, app store accounts) when required

  • Review Deliverables and provide approvals/feedback promptly

Delays caused by Client may shift timelines and may require additional fees if significant rework or rescheduling is needed.

7) Payments, Billing, and Taxes

​

7.1 Payment methods and currency

Payments are processed in USD via Stripe and/or PayPal (or other processors listed at checkout). Payment processors may apply their own terms and policies.

​

7.2 Payment terms

Payment terms (deposit, milestones, and due dates) will be specified in your Proposal or at checkout. You agree to pay all amounts due in accordance with those terms.

​

7.3 Work suspension for nonpayment

PALMOC may suspend or delay work if payments are not made when due. Suspension may affect schedules and delivery estimates.

​

7.4 Taxes

You are responsible for any applicable taxes, duties, or similar charges, except where PALMOC is legally required to collect them.

​

8) Refunds, Cancellations, and Termination

​

8.1 No refunds after work begins

All sales are final once work begins. PALMOC does not provide refunds after work has started, including where the Client later changes direction, becomes unresponsive, or chooses not to proceed.

​

8.2 Cancellation by Client; payment for work performed

If you cancel a project after work begins, you remain responsible for payment for all work performed and any committed costs up to the effective cancellation date. PALMOC will provide a good-faith summary of completed work and outstanding amounts upon request.

​

8.3 Termination for breach

Either party may terminate a project if the other materially breaches and fails to cure within 10 days of written notice (unless the breach cannot be cured).

​

8.4 Effect of termination

Upon termination:

  • You must pay for work performed up to termination

  • PALMOC will deliver any completed Deliverables that correspond to amounts paid (subject to Section 9)

9) Intellectual Property and Ownership

​

9.1 Ownership transfers after full payment

Subject to full payment of all fees due, PALMOC assigns to Client the rights in the Deliverables created specifically for the Client under the Proposal.

​

9.2 No transfer before payment

Until all amounts are paid in full, PALMOC retains all rights in and to the Deliverables, and you receive only a limited right to review them for approval purposes.

​

9.3 Client Materials

Client retains ownership of Client Materials. Client grants PALMOC a limited license to use Client Materials solely to perform the Services.

​

9.4 Third-party components

If Deliverables include third-party software, fonts, libraries, or other materials, those items are governed by their respective licenses, and Client agrees to comply with them.

​

10) Confidentiality and NDAs

PALMOC recognizes that many clients require confidentiality and NDAs. Where an NDA exists, the NDA governs confidentiality obligations. If no NDA is signed, both parties agree to treat non-public business, technical, and project information as confidential and use it only for the project.

Portfolio: PALMOC will not publicly display Client work when an NDA is in place or where confidentiality is expected, unless you provide written permission.

11) Acceptable Use

You agree not to use the Services to:

  • Violate laws or regulations

  • Infringe intellectual property or privacy rights

  • Develop or distribute malware, spyware, or unauthorized surveillance

  • Engage in harassment, fraud, or deceptive practices

  • Use the Services for unlawful, exploitative, or abusive activities

PALMOC may refuse or terminate Services for requests that violate this section.

12) Disclaimers

To the maximum extent permitted by law:

  • Services and Deliverables are provided “as is” and “as available.”

  • PALMOC does not guarantee that Deliverables will be error-free, uninterrupted, or meet every business objective.

  • PALMOC does not guarantee app store approvals, third-party platform approvals, revenue results, or performance outcomes, as these depend on factors outside PALMOC’s control.

13) Limitation of Liability

To the maximum extent permitted by law:

  • PALMOC’s total liability for any claim arising out of or relating to the Services or these Terms will not exceed USD $1,000.

  • PALMOC will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or business interruption, even if advised of the possibility.

Some jurisdictions may not allow certain limitations; in such cases, liability will be limited to the greatest extent permitted.

14) Indemnification

You agree to indemnify and hold PALMOC harmless from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Services in violation of these Terms

  • Your Client Materials (including infringement claims)

  • Your products, services, or applications that use or incorporate the Deliverables

  • Your violation of laws or third-party rights

15) Dispute Resolution, Arbitration, and Class Action Waiver

​

15.1 Informal resolution first

Before starting arbitration or any legal proceeding, you agree to contact PALMOC and attempt in good faith to resolve the dispute informally for 30 days.

​

15.2 Binding arbitration

If a dispute is not resolved informally, it will be resolved by binding arbitration administered by AAA or JAMS (at PALMOC’s election), under the applicable rules. The arbitration will be conducted in Wyoming, unless the parties agree otherwise.

​

15.3 Class action waiver

You and PALMOC agree that disputes will be brought only on an individual basis, and not as a class, collective, consolidated, or representative action.

​

15.4 Injunctive relief

Nothing prevents either party from seeking injunctive or equitable relief in court to protect intellectual property rights, confidential information, or to prevent unauthorized use pending arbitration.

​

16) Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law rules.

​

17) Communications and Support

Support may be provided via email, chat, and phone calls, during PALMOC’s business hours or as otherwise agreed in your Proposal. PALMOC may send administrative messages related to your account, billing, and Services.

​

18) Changes to These Terms

PALMOC may update these Terms from time to time. Updated Terms will be posted on the website and will apply going forward as of the updated Effective Date. For active projects, changes will not retroactively alter agreed pricing or scope in an existing Proposal.

​

19) Miscellaneous

  • Entire agreement: These Terms and the Proposal constitute the agreement for the Services.

  • Severability: If any provision is invalid, the remainder remains in effect.

  • No waiver: Failure to enforce a provision is not a waiver.

  • Assignment: Client may not assign these Terms without PALMOC’s written consent.

  • Force majeure: Neither party is liable for delays due to events beyond reasonable control (e.g., outages, natural disasters, acts of government, etc.).
